Change Healthcare is at the center of the healthcare ecosystem, enabling the company to play an important role in transforming healthcare into a more consumer-friendly, efficient and value-driven system.Leveraging the capabilities and talent of Change Healthcare, the companys strategic and operational plans require inspirational leadership and disciplined execution to deliver on its growth and market leadership expectations.THE POSITIONThe Opportunity:The Change Healthcare Law Department is seeking an experienced candidate to provide legal support across the business.The Contract Specialist will provide legal support to the sales and business organizations through drafting various types of agreements and act as an advisor to the sales and business organizations in order to advise on legal issues facing their business and processes in order to minimize Change Healthcares exposure and risk. As a valued member of the Legal and Compliance organization, this position has visibility and exposure to upper management in supporting a competitive business within the healthcare industry.The Contract Specialist will work closely with and collaborate with Counsel and Sr. Counsel.The Contract Specialist will help the Change Healthcare law department become a world-class high-performing organization.Candidates for this position will be based in Atlanta or Alpharetta.Key Relationships:Reports to: Counsel or Sr. CounselMain Responsibilities: Work through a diverse scope of issues where analysis of the information may require identification and evaluation of many relevant potential factors.Effectively explain licensing and other legal and contracting principles to internal clients and external customers.Proficiently draft various agreements and capture negotiated provisions in Change Healthcare contract documents with minimal attorney oversight.Anticipate contracting issues and initiate appropriate actions to ensure contract documents are processed efficiently and in accordance with company policies and guidelines.Handle multiple tasks and priorities in a changing business environment.Exercise reasonable judgment within generally defined practices and policies in selecting methods and techniques for obtaining contracting solutions.Interface with various internal business groups (Finance, Technical Accounting, Regulatory, Intellectual Property, etc.) to ensure contract documents are drafted correctly.Conduct research on legal issues or other topics as required.Participate on special project teams or the creation of tools to enable process improvements as needed.Update and maintain various internal reporting systems. Adherence to process is critical and developing updates to process may be necessary from time to time.Manage or participate in moderately complex projects involving multiple stakeholders through to completion in a timely, efficient, and collaborative fashion.THE INDIVIDUALDrafts and reviews contracts and provides guidance on contract standardsIdentifies, analyzes, researches and resolves legal and business process issues and makes appropriate recommendationsParticipates in contract negotiationsIdentifies risk, determines the level of risk and routes appropriatelyRecommends, develops and/or implements contracting policies, procedures and processesMonitors compliance with internal business and legal processes and policiesPrepares presentations for the attorneys and presents to senior leaders, as applicablePrepares contract summaries and/or issues lists to present to attorney, senior law leaders or clients for review, if applicable.Consults on legal provisions within the contracts.Demonstrates comprehensive understanding of business units, products, strategy, and operational model.Critical Skills:Communicate openly, clearly, and completely (including excellent written skills).Listen to the needs of the internal client or external customer to understand the broader context of issues that arise during contract negotiations and strategic initiatives.Adapt quickly to ever-changing internal and business policies and procedures.Demonstrated excellence in conducting in-depth legal research and analysis regarding a broad range of health care issues.Demonstrated ability to conduct complex initiatives in a self-directed manner, with minimal oversight by attorneys, and to deliver superior results in a timely manner.Demonstrated ability to communicate effectively with broad spectrum of business unit attorneys, compliance officers and business unit representatives.Ability to prioritize multiple, ongoing initiatives and efficiently re-prioritize such responsibilities, as may be required in a changing business environment.Ability to work effectively with internal and external clients and promote the reputation and integrity of the Law Department and Company.Leadership Competencies:Strategic thinking: capable of providing clear and balanced support on a broad range of strategic and complex management, and product issues.Driving results: results-oriented style with a high degree of analytical ability and proven problem solving skills.Leading change: ability to thrive and quickly adapt to change, leading others through change in a dynamic, fast-paced industry and work environment.Collaborating and influencing: effectively builds strong relationships and partnerships within and outside of the company.
